Corporate & Commercial Practice Group

Corporate Law

Our Corporate services, however, specifically exclude complex securities matters.

In this practice, we also structure, draft, evaluate and negotiate a full range of routine and complex technology transactions for our clients, including matters related to: strategic alliances, licensing, software development, source code escrow, original equipment manufacturing and distribution, network or Internet services providers, resellers, technology transfers, outsourcing, online or co-marketing, online subscription-based services, and so forth.

      Trade Secrets and Intellectual Property
      Our experience with representing high technology companies has enabled us to develop expertise in protecting intellectual property and trade secrets in the context of the employer-employee relationship. Such assistance may involve protecting a corporate client’s information upon the hiring or departure of key employees, or drafting proprietary information agreements. Our Intellectual Property practice, however, excludes patent prosecution and patent enforcement.

     Media and Entertainment
     Our specialized expertise in the media, music and entertainment industries allows us to represent a variety of clients, ranging from film or television production and distribution companies, individual writers, directors or composers, to music and print publishing houses. We have considerable experience with structuring, drafting and negotiating various agreements for clients in this area, including those involving individual rights of privacy and publicity, or the creation, sale or licensing of content for entertainment and media productions. As a result, we offer both technical and practical advice with all aspects of media transactions and the trade or industry-related issues that may arise. Lastly, our technology expertise enables us to offer additional services for projects or transactions involving the convergence of entertainment content and advanced digital media technologies, such as online entertainment, concerts and gaming.

Consumer Products & Privacy

     Privacy
     The legal and regulatory landscape regarding privacy and data protection issues has become increasingly complex over the last few decades with the adoption of such laws as the Health Insurance Portability and Accountability Act, the Children’s Online Privacy Protection Act, the privacy provisions of the Gramm-Leach-Bliley Act and the Electronic Communication Privacy Act. As with our consumer products practice, our focus in this area involves advising our clients on a variety of privacy issues in the transactional context. We advise clients on the applicable privacy laws affecting their industry and their compliance obligations under those laws. Additionally, we assist in such matters as developing and implementing privacy policies and/or training programs, and ensuring that privacy concerns are properly addressed in documents for transactions where such issues might arise. With the ever-changing statutory and policy developments in the privacy area, this unique services offering is of increasing importance to our business clients.

Intellectual Property Law & Licensing

Our intellectual property registration and licensing practice involves counseling clients on a full range of legal protection issues and requirements arising under copyright and trademark laws, excluding patent. We provide advice relevant to all types of copyrighted materials as well as matters related to trademark practice claims, including those involving trademarks, service marks, trade dress, etc. In addition to our expertise with computer software and multimedia products, we also have experience with copyrightable material in the entertainment and digital media industries. We educate and assist our clients in implementing trade secret protection plans in their business and policies or guidelines designed to protect their intellectual property assets. In our licensing arm of this practice, we provide thorough legal and strategic advice to our clients about the licensing of protected intellectual property assets, including the drafting and negotiation of various types of licenses and the monitoring of licensing arrangements. Lastly, our significant experience in this area allows us to comprehensively advise clients of relevant intellectual property ownership or licensing considerations in other contexts (e.g., hiring of new employees, etc.) or areas of their business.

Government Contracts

We understand the importance to our clients of the benefits offered by the General Services Administration (GSA) Government Contracting Programs. For that reason, we are experienced in this area and well-equipped to handle the needs of our clients who do business as GSA Contractors with the U.S. Government and state and local agencies. Whether our clients desire to obtain GSA Contractor status, monitor their compliance under the Program and/or evaluate their continuing obligations and rights under GSA Contracting Programs, Zent Law Group is capable of assisting.
